1. Acceptance of Terms
By accessing or using our platform (the “Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use the Services. These Terms form a binding agreement between you (“Merchant,” “User,” or “You”) and Verde Gate LLC (“Company,” “We,” or “Us”).
2. Provision of Services
We provide technology that enables merchants to manage accounts, route transactions, and monitor performance. Services are provided on an “as available” basis, subject to applicable laws, card network rules, and the terms herein. We may update or modify the Services at our discretion.
3. Merchant Obligations
You must provide accurate, current, and complete information during onboarding and maintain compliance with all applicable laws and regulations.
You are solely responsible for your business activities, including how you market, sell, and deliver products or services.
Certain industries, business models, or categories may be restricted or prohibited; we reserve the right to deny or terminate service if we deem the business ineligible or high-risk.
4. Fees and Payment
You agree to pay all applicable fees as outlined in your merchant agreement or onboarding documents. Fees may include, but are not limited to, transaction charges, gateway fees, and chargeback assessments. We may withhold or offset fees against settlement amounts if required by law, regulation, or to cover risk exposure.
5. Refunds and Chargebacks
Merchants must clearly disclose their refund and cancellation policy to customers at the point of sale.
Chargebacks and disputes are handled in accordance with card network rules and applicable law.
Excessive chargebacks, fraudulent activity, or unresolved disputes may result in delayed settlements, reserve requirements, or termination of Services.
6. Risk and Liability
You acknowledge that electronic payments involve inherent risk, including fraud and chargebacks. You assume responsibility for these risks within your business.
We are not liable for indirect, incidental, or consequential damages, including lost profits, arising from use or inability to use the Services.
Our aggregate liability for direct damages shall not exceed the fees paid by you to us in the six (6) months preceding the claim.
7. Suspension and Termination
We may suspend or terminate your access to the Services if:
You breach these Terms or applicable laws.
Your account poses unacceptable risk based on chargeback levels, fraud indicators, or non-compliance with card network rules.
We are directed to do so by a regulator, acquiring bank, or card network.
8. Governing Law and Dispute Resolution
These Terms are governed by the laws of Florida. Any disputes will be resolved exclusively in the courts of Florida, unless otherwise required by law.
9. Modifications
We may amend these Terms by posting an updated version on our website. Continued use of the Services constitutes acceptance of the updated Terms.
